| | | Joanne C. Freeze, P.Geo Position: CEO, Director & Chair
Joanne (Joey) C. Freeze is CEO and co-founder of Candente Copper Corp. Since entering the mineral exploration business in 1979, Ms. Freeze has managed exploration programs and evaluated projects for both junior and major international mining companies such as Queenstake Resources Ltd., Arequipa Resources Ltd., Mountain Province Mining Inc., Placer Dome Inc., Dia Met Minerals Corp., Hughes/ Lang Group and Utah Mines Ltd. (BHP).
Ms. Freeze lived and worked in Peru from 1994 to 1997 where she carried out both project generation work and property evaluations for Canadian and Peruvian companies. As a result of her experience in Peru, a partnership was formed with Fredy Huanqui, and a new mineral exploration company was born. Candente Copper Corp. was established in 1997, which operated privately until going public on May 15, 2000.
Ms. Freeze obtained a B.A. in Geography from the University of Western Ontario in 1978 and a B.Sc. in Geology from the University of British Columbia in 1981. She is a Fellow Member of the Geological Association of Canada and is registered with the Association of Professional Engineers and Geoscientists of British Columbia, Canada.

| | | Sean I. Waller, P. Eng. Position: President and Director
Mr. Waller is a registered Professional Engineer with more than 25 years of International experience in mining project management, evaluation, design and operation, with a specific focus on large scale copper projects and gold projects. Prior to joining Candente he was with AMEC Americas Limited Mining Division ("AMEC") in Vancouver where he held the positions of Vice President of Global Business Development and Senior Project Manager. While at AMEC Mr. Waller managed the feasibility study for Nevsun's recently commissioned Bisha gold/copper mine in Eritrea and the front end engineering for Inmet's Cobre de Panama project in Panama.
Prior to AMEC, Mr. Waller worked with SNC-Lavalin's Mining Division in management and senior technical roles. Mr. Waller also previously worked for Freeport-McMoran at its Grasberg copper operation in Indonesia. Mr. Waller is a member of the Canadian Institute of Mining, Metallurgy and Petroleum ("CIM") where he has served on the CIM National Executive Council, and he is the immediate past Vice President for District 6 (British Columbia and Yukon).
Mr. Waller has a B.Sc. in Geology from the University of British Columbia in Vancouver and a Masters Degree in Mineral Process Engineering from The Montana School of Mines in Montana.

| | | Andrés Milla C., M.Econ. Position: Director
Mr. Milla joined Candente Copper in July 2009. He graduated from Universidad del Pacífico, Lima, Perú and has a Master in Economics from Boston University. He has over 15 years of experience in investment banking and capital market transactions, and has been an Associate with First Capital Partners, Peru since 2008. He was a member of the Board of the Lima Stock Exchange from 2006 until March 2008 and general manager of Credibolsa SAB, main broker agent of the Peruvian stock market, from 2006 to August 2008. Mr. Milla was also the Capital Markets Project Manager in the Finance Area of Banco de Crédito del Perú from 2000 to 2005.
Prior to this, he was a member of the Cabinet of Advisors of the Ministry of Economy and Finance of Peru and Head of Fixed Income of the Analysis Department of the Capital Market Division of Banco de Credito. Throughout his career he has participated in several prominent corporate finance operations in Peru, worth in excess of US$2 billion. As part of his involvement with the capital market of Perú, he has been also a Director of the Bolsa de Productos del Perú (Commodity Exchange in Peru) and Director of Cavali ICLV S.A., clearing and settlement institution of the Peruvian Stock Market.

| | | John E. Black, B.Sc., M.Sc., Position: Independent Director
Mr. Black is an economic geologist with 30 years of global exploration experience. He received his Master's degree in Geology - Ore Deposits Exploration from Stanford University in 1988.
Most recently, as President & CEO of Antares Minerals, John progressed the Haquira copper project in Peru through a highly positive PEA and subsequent sale to a major copper producer, to the benefit of all of his stakeholders. Prior to his work with Antares, Mr. Black was Western Mining Corporation's Technical Exploration Manager for porphyry copper exploration in Chile and Perú, and Principal Geologist for Rio Tinto, Kennecott's parent corporation, exploring for porphyry copper deposits in northern Chile and Ecuador.

| | | George Elliot, BA (Hons) LL.B Position: Independent Director
George Elliott has over 35 years of experience in legal affairs and corporate finance throughout a variety of industries. As an advisor to the AuRico Gold Board of Directors, Mr. Elliott was instrumental in the reorganization of Gammon Gold through the name change to AuRico previously this year. Prior to 2000, Mr. Elliott was Senior Counsel at the law firm Gowling Lafleur Henderson (now Gowlings). Since 2000 Mr. Elliott has held the roles of Chairman and CEO for Titanium Corporation Inc., Executive Vice President of MCAP Financial, which manages over $20 billion in mortgage investments for Canadian financial institutions, CEO of Augen Capital, and Chair of the Executive Committee of the PLM Group - Canada's fourth largest commercial printer, which was acquired by Transcontinental Printing for 250% of their market value.
George is currently also Chairman, CEO, and Director of Andor Mining, and is a Director of Esperanza Resources Corp., Medworxx Solutions Inc., and Urbana Corporation.

| | | Wolfgang Nickel, P.Eng. Position: Independent Director
Mr. Nickel is a metallurgical engineer with 35 yrs experience in large scale copper and coal mining operations with Teck Resources Limited and Cominco Ltd. Wolf recently retired from Teck after eight years as President, General Manager of the Highland Valley copper mine in BC which produces approximately 100,000 tonnes of copper per year, and is the largest open pit mine in Canada as well as one of the largest in the world.
During his tenure at Highland Valley Copper, Wolf led the innovative team that succeeded in extending the life of the mine by over 10 years (to 2020) by incorporating the Valley, Lornex and Highmont resources into additional mineral reserves. The mine life extension included the in-house engineering and construction associated with relocating the Valley in-pit crushing and ore conveying system to pit rim, increasing the ultimate dam height to handle additional tailings storage, as well as replacing old mining equipment with new and more productive units necessary for the longer mine life.
